By accessing, browsing, or using our website at www.gurudigitals.in (“Website”) or engaging any of our digital marketing services, you (“Client”, “User”, “You”) confirm that you have read, understood, and agreed to be legally bound by these Terms & Conditions.

If you do not agree with any part of these terms, please discontinue use of our website and services immediately. These Terms & Conditions apply to all visitors, clients, and users of our website and services without exception.

 Services Agreement

Service Engagement

All services provided by Guru Digital Solutions are subject to a formal agreement between the client and the company. Services commence only after:

• Written confirmation of project scope
• Agreement on deliverables and timelines
• Receipt of agreed advance payment
• Signing of service agreement or proposal acceptanc
•  Project Scope & Changes

Any changes to the agreed project scope  including additional features, pages, revisions beyond the agreed limit, or new requirements  will be treated as additional work and quoted separately. Scope changes must be agreed upon in writing before implementation begins.

Client Responsibilities

Clients are responsible for:

• Providing accurate, complete, and timely information required for project execution
• Supplying required content, images, logos, and materials within agreed timelines
• Reviewing and approving deliverables within the specified review period
• Ensuring all supplied materials do not infringe third-party intellectual property rights
• Maintaining confidentiality of login credentials and account access provided

 Payment Terms & Conditions

Payment Structure

All projects and services require advance payment as per the agreed payment schedule:

• One-Time Projects — 50% advance before work commencement, 50% before final delivery
• Monthly Retainer Services — 100% payment due on or before the 1st of each service month
• Custom Projects — payment milestones as specified in the individual project agreement

 Payment Methods

We accept payments via:

• Bank Transfer (NEFT / RTGS / IMPS)
• UPI Payment (Google Pay / PhonePe / Paytm)
• Cheque (subject to clearance before work commencement)
• Online Payment Gateway (as available)
• Late Payment Policy

• Invoices unpaid beyond 7 days of due date attract a late payment notice
• Services may be suspended if payment remains outstanding beyond 15 days
• Resumed services require full payment of outstanding dues plus applicable late fees
• Guru Digital Solutions reserves the right to withhold final deliverables until full payment is received

 Refund Policy

• Advance payments are non-refundable once project work has commenced
• Refund requests must be submitted in writing within 48 hours of payment
• Refunds are considered only where Guru Digital Solutions has failed to commence agreed work
• No refunds are applicable for completed work, approved deliverables, or live campaigns
• Monthly retainer fees are non-refundable once the service month has commenced

 Intellectual Property Rights

 Client Ownership

Upon receipt of full and final payment, all original creative work including logos, website designs, brand identities, graphics, and content  produced by Guru Digital Solutions exclusively for the client becomes the intellectual property of the client.

Company Rights

Guru Digital Solutions retains the right to:

• Display completed work in our portfolio, case studies, and marketing materials
• Use project work for award submissions and industry recognition
• Reference client names and results in marketing materials unless explicitly restricted in writing

 Third-Party Assets

• Stock images, fonts, icons, and plugins used in projects are subject to their respective licensing terms
• Clients are responsible for ensuring all supplied materials are legally licensed for commercial use
• Guru Digital Solutions is not liable for copyright infringement arising from client-supplied materia
• Agency Tools & Software

All proprietary tools, methodologies, templates, frameworks, and systems used by Guru Digital Solutions remain the exclusive intellectual property of the company and are not transferred to clients under any circumstances.

Advertising & Campaign Services

 Ad Spend Management

For paid advertising services (Google Ads, Facebook Ads, Instagram Ads):

• Ad spend budgets are separate from our management fees
• All ad spend is billed directly to the client’s advertising account or reimbursed to Guru Digital Solutions
• We optimize campaigns to maximize ROI but cannot guarantee specific results due to platform algorithm changes
• Campaign performance depends on multiple factors including budget, industry competition, audience, and market conditions

 Campaign Results Disclaimer

While Guru Digital Solutions applies industry best practices and proven strategies, we do not guarantee specific results including:

• Specific number of leads or sales
• Specific return on ad spend (ROAS)
• Specific cost per lead (CPL)
• Specific revenue targets

Results vary based on industry, competition, budget, market conditions, and numerous external factors beyond our control.

 Account Access

Clients must provide necessary access to advertising accounts, analytics platforms, and social media accounts. Guru Digital Solutions is not responsible for delays caused by delayed or restricted account access.

 SEO Services Terms

 SEO Results Timeline

Search engine optimization is a long-term strategy. Guru Digital Solutions makes no guarantee of:

• Specific keyword rankings within specific timeframes
• Page 1 rankings for specific keywords
• Specific organic traffic volumes

SEO results depend on Google’s algorithms, competition levels, website authority, content quality, and numerous factors outside our direct control. Typical meaningful results are observed within 3–6 months of consistent SEO work.

 White Hat SEO Guarantee

Guru Digital Solutions exclusively practices white hat SEO techniques compliant with Google’s Webmaster Guidelines. We do not engage in black hat practices including keyword stuffing, cloaking, link schemes, or hidden text that could result in Google penalties.

 Website Design & Development Terms

 Browser & Device Compatibility

All websites are tested and optimized for current versions of major browsers (Chrome, Firefox, Safari, Edge) and modern mobile devices. We cannot guarantee perfect compatibility with outdated browsers or highly customized device configurations.

Website Maintenance

Post-launch website maintenance, updates, security patches, and content changes are not included in the original development scope unless specifically agreed. Ongoing maintenance is available as a separate monthly service.

Hosting & Domain

Unless specifically included in the project agreement:

• Domain registration and hosting are the client’s responsibility
• Guru Digital Solutions is not responsible for hosting downtime, security breaches, or data loss
• We recommend reliable hosting providers and can assist with setup at an additional charge

 Confidentiality & Non-Disclosure

Both parties agree to maintain strict confidentiality regarding:

• Business strategies, plans, and proprietary information
• Financial information and pricing structures
• Client data, customer information, and business intelligence
• Campaign strategies, creative concepts, and marketing methodologies

This confidentiality obligation continues for 2 years following the conclusion of the business relationship unless extended by separate written agreement.

 Limitation of Liability

 Maximum Liability

Guru Digital Solutions’ total liability to any client shall not exceed the total fees paid by that client for the specific service giving rise to the claim in the preceding 3 months.

Exclusions

Guru Digital Solutions is not liable for:

• Loss of business, revenue, profits, or anticipated savings
• Loss of data or business interruption
• Indirect, consequential, or special damages
• Losses arising from third-party platform changes (Google, Meta, Instagram algorithms)
• Losses arising from client-supplied incorrect information or delayed approvals
• Force majeure events including natural disasters, pandemics, or government actions

Termination of Services

 Client Termination

Clients may terminate services by providing 30 days written notice via email to gurudiitals25@gmail.com Upon termination:

• All outstanding payments become immediately due
• Work completed to date will be delivered upon receipt of full payment
• Advance payments for uncommenced work may be refunded at company discretion

 Company Termination

Guru Digital Solutions reserves the right to immediately terminate services if:

• Client fails to make payment within agreed terms
• Client engages in abusive, threatening, or inappropriate behavior
• Client requests services that violate legal or ethical standards
• Client breaches any provision of these Terms & Conditions

Governing Law & Dispute Resolution

 Governing Law

These Terms & Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of courts in chhatrapati Sambhajinagar, India.

 Dispute Resolution Process

In the event of any dispute:

1. Both parties agree to first attempt resolution through good faith negotiation within 30 days
2. If negotiation fails, disputes will be referred to mediation by a mutually agreed mediator
3. If mediation is unsuccessful, disputes will be resolved through arbitration under the Arbitration & Conciliation Act, 1996

 Privacy & Data Protection

Guru Digital Solutions is committed to protecting your personal data in accordance with our Privacy Policy and applicable Indian data protection laws. By using our services, you consent to the collection and use of information as described in our Privacy Policy.

Key data commitments:

• Pandemic or public health emergencies

 Entire Agreement

These Terms & Conditions, together with any signed service agreements, proposals, and our Privacy Policy, constitute the entire agreement between Guru Digital Solutions and the client — superseding all prior discussions, representations, or agreements whether verbal or written.
